Online Professional Referral Terms

These General Referral Terms ("Terms") govern the partnership between Montaska Partners, LLC ("We", "Us") and the professional partner ("You") identified in the Enrollment Form.
1. RELATIONSHIP SCOPE
You are an independent contractor and a "finder" only. Nothing here creates a joint venture or employer-employee relationship. You have no authority to negotiate merchant pricing or make representations on our behalf.
2. QUALIFIED REFERRALS
A "Qualified Referral" is a prospect that:
Is not an existing customer or in our active sales pipeline.
Is referred directly through our approved process.
Successfully executes a Merchant Agreement within 90 days. We reserve the right to decline any merchant application at our sole discretion.
3. RESIDUAL PAYMENTS & THRESHOLDS
Timing: Payments are remitted within 45 days following the end of the month in which revenue was collected.
Minimum: If your monthly residual is less than $25, we may hold payment until the balance exceeds that amount.
4. CONFIDENTIALITY & DATA PRIVACY
Both parties agree to protect confidential business information, including merchant data and pricing. You will not use merchant information obtained through this program for any purpose other than facilitating referrals to Us.
5. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our mutual liability is limited to the total residuals paid to you in the six (6) months preceding a claim.
6. NATIONAL COMPLIANCE
No Initial Fee: There is no fee, purchase, or investment required to participate.
Professional Responsibility: You represent that you are in good standing with your licensing board and will comply with all state-specific disclosure requirements.
Void Where Prohibited: If referral fees are prohibited by your specific jurisdiction or professional license, this agreement remains valid as a non-monetary professional courtesy program.
7. DISPUTE RESOLUTION
These terms are governed by the laws of the State of Nebraska. Any disputes that cannot be resolved through friendly discussion will be settled by binding arbitration in Sarpy County, Nebraska. Both parties waive their right to a jury trial.
